Terms and Conditions of Use

ODNAP, LLC d/b/a ValuIQ | Effective upon acceptance

These Terms and Conditions govern your access to and use of the ValuIQ platform operated by ODNAP, LLC, a Tennessee limited liability company doing business as ValuIQ. By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

These Terms apply to all users of the Platform, including direct business subscribers, multi-tenant subscribers, and Tenant Clients accessing the Platform through an MT Subscriber account.

2. Nature of the Platform

2.1 Guidance Tool Only

The Platform is a business readiness and assessment guidance tool. All outputs are provided solely as directional guidance to assist business owners and their advisors in understanding and improving business operations.

2.2 Not a Certified Appraisal

PLATFORM OUTPUTS DO NOT CONSTITUTE A CERTIFIED BUSINESS APPRAISAL, CERTIFIED BUSINESS VALUATION, FORMAL OPINION OF VALUE, OR ANY REGULATED VALUATION PRODUCT UNDER APPLICABLE LAW. Platform Outputs are not produced by a licensed appraiser, certified public accountant, investment banker, or any other regulated professional acting in a regulated capacity.

2.3 No Sale Guarantee

COMPLETION OF ANY PLATFORM PROGRAM OR RECEIPT OF ANY PLATFORM OUTPUT DOES NOT GUARANTEE THAT: a business will be sold or attract prospective buyers; a business will achieve any particular sale price or valuation multiple; a business will be deemed acceptable or fundable by any buyer, lender, or third party; any specific financial outcome will result; or the business will qualify for any financing or regulatory approval.

2.4 Readiness Scores Are Directional

Any readiness score generated by the Platform is a directional indicator based on user-submitted data and Company proprietary methodology. It does not represent an independent audit or third-party assessment.

2.5 No Professional Advice

Nothing on the Platform constitutes financial, investment, tax, legal, or any other form of professional advice. Users should consult qualified professionals before making any decisions based on Platform Outputs.

3. User Responsibilities

You are solely responsible for the accuracy of all data you submit. You agree to use the Platform only for lawful purposes. You agree not to misrepresent Platform Outputs to any third party. MT Subscribers are responsible for ensuring Tenant Clients are made aware of these Terms.

4. Disclaimers of Warranty

THE PLATFORM IS PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTY OF ANY KIND. COMPANY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. COMPANY LIABILITY SHALL BE LIMITED TO THE GREATER OF: THE TOTAL FEES PAID IN THE THREE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS.

6. Intellectual Property

All content, technology, algorithms, scoring methodologies, benchmarks, trademarks, and other intellectual property on the Platform are owned by Company and protected by applicable law.

7. Third-Party Content and Links

The Platform may integrate with third-party tools or services. Company is not responsible for the content or practices of any third party.

8. Modifications to Terms

Company reserves the right to modify these Terms at any time. Continued use after the effective date constitutes acceptance of updated Terms.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Tennessee. Disputes shall be resolved exclusively in the state or federal courts located in Williamson County, Tennessee.
